General Terms and Conditions of Sale

UniSeals ApS

These Terms apply to all quotations, orders, sales and deliveries by UniSeals ApS (“UniSeals”), unless otherwise agreed in writing.

1. Applicability

These Terms apply to all sales and deliveries.
Conflicting buyer terms do not apply unless accepted in writing.

2. Quotations and Orders

Quotations are non-binding.

Orders are binding upon written confirmation.

UniSeals may adjust specifications where necessary.

3. Prices

Prices exclude VAT, freight and other charges.

Unless otherwise agreed, delivery is Ex Works (EXW) Incoterms® 2020.

Prices may be adjusted due to cost changes.

4. Payment Terms

Payment: 30 days net.

Late payments may incur interest and costs.

UniSeals may suspend deliveries.

5. Delivery

Delivery times are estimates.

UniSeals is not liable for delays beyond control.
Risk transfers according to Incoterms, default EXW.

6. Installation and Use

Products are for professional use.

Buyer must ensure:

  • correct product selection
  • proper installation
  • compliance with instructions and regulations

UniSeals provides guidance in good faith.

UniSeals assumes no responsibility for installation or application.

UniSeals is not liable for:

  • incorrect installation
  • misuse
  • deviation from instructions
  • third-party modifications

7. Inspection and Complaints

Goods must be inspected upon delivery.

Defects must be reported within 7 days.

If defects are discovered, installation must stop immediately.

UniSeals is not liable if use continues after defect is identified.

8. Warranty

Products comply with specifications at delivery.

Warranty excludes improper use, installation or modifications.

Remedy: repair, replacement or refund.

9. Limitation of Liability

UniSeals is not liable for indirect losses.

Liability is limited to product value.

10. Force Majeure

No liability for events beyond control.

11. Retention of Title

Ownership remains with UniSeals until payment.

12. Marketing and Reference

Buyer may not use UniSeals’ name or brand without consent.

13. Governing Law

Danish law applies.

Disputes handled by Danish courts.

14. Acceptance

Placing an order constitutes acceptance.
